Terms of Service

1. Scope and Acceptance

These Terms apply to VidifyAI Studio's websites, apps, APIs, and related software, models, and support services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

2. Key Definitions

"Customer Content" means prompts, scripts, uploads, source materials, and configuration data submitted by you. "Output" means videos, audio, avatars, captions, images, metadata, and other content generated by the Services. "Authorized Users" means individuals you permit to access your workspace.

3. Eligibility and Age Restriction

You must be at least 18 years old to use the Services.

The Services are not available to minors. Accounts found to violate this requirement may be suspended or terminated immediately.

4. Account Responsibilities

You must provide accurate registration information, protect account credentials, and ensure all Authorized Users follow these Terms and applicable law.

5. Billing, Payments, Taxes, and Refunds

Services may be offered by subscription or usage plans. Fees are payable in advance unless otherwise stated.

Payments are processed through Polar and/or its payment processing partners.

You authorize VidifyAI Studio and its payment providers to charge applicable fees, taxes, renewals, and authorized overages.

All fees are non-refundable except where required by applicable law.This includes partial subscription periods, unused credits, and unused service time.

6. Licenses and Platform IP

We grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term. VidifyAI Studio and its licensors retain all rights in the Services, models, software, and documentation.

7. Customer Content

You retain rights in Customer Content. You grant VidifyAI Studio a limited license to host, process, transmit, and display Customer Content solely to provide, secure, maintain, and improve the Services, and to comply with law.

8. AI Output Rights and Copyright Reality

As between you and VidifyAI Studio, and to the extent permitted by law, VidifyAI Studio assigns any rights it may have in generated Output to you.

Due to the nature of artificial intelligence systems, generated content may not be eligible for copyright protection under applicable laws. VidifyAI Studio does not guarantee that users can claim exclusive ownership or enforce copyright against third parties.

We do not guarantee Output uniqueness, non-infringement, market fitness, or uninterrupted availability.

9. AI Limitations and Synthetic Media Disclosures

AI Output may be inaccurate, incomplete, biased, or misleading. You must independently review and validate Output before publishing or relying on it.

You are solely responsible for disclosures and labels for synthetic or AI-generated media where required by law, regulation, or platform policy.

10. Likeness, Voice, and Consent Responsibilities

You are responsible for obtaining and maintaining all rights, licenses, and consents for voice, likeness, name, trademark, and copyrighted content used in Customer Content or Output.

11. AI Training Data Policy

By default, VidifyAI Studio does not use Customer Content to train shared foundational AI models without explicit user consent.

We may use Customer Content for service operation, security, abuse prevention, debugging, quality assurance, analytics, and support.

If we introduce model-training opt-in controls, consent will be explicit and user-manageable.

12. Acceptable Use

You must comply with our Acceptable Use Policy. We may remove content or suspend accounts for violations.

13. Third-Party Services and Dependencies

The Services may rely on third-party infrastructure and providers. Third-party services are governed by their own terms and policies.

14. Confidentiality

Each party will protect the other party's confidential information with reasonable care and use it only for purposes of performing under these Terms.

15. Beta and Preview Features

Beta or preview features may be modified, suspended, or discontinued at any time, and may be provided with reduced support or reliability.

16. Suspension and Termination

We may suspend or terminate access for non-payment, legal risk, abuse, security incidents, sanctions risk, or breach of these Terms.

17. Warranty Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, VidifyAI Studio disclaims all implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

18. Limitation of Liability

To the maximum extent permitted by law, VidifyAI Studio is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Aggregate liability under these Terms is limited to amounts paid by you for the Services in the 12 months preceding the claim.

19. Indemnification

You agree to defend and indemnify VidifyAI Studio from claims arising from your Customer Content, Output usage, or breach of these Terms or applicable law.

20. Export Controls and Sanctions

You may not use the Services in violation of export control, sanctions, anti-money laundering, or similar trade laws.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of India, subject to mandatory local consumer protections. Competent courts in India will have jurisdiction unless applicable law requires otherwise.

22. General Terms

These Terms are the complete agreement for the Services. If any provision is unenforceable, remaining provisions remain effective. You may not assign these Terms without our consent, except in connection with lawful corporate reorganization.

23. Changes to Terms

We may update these Terms from time to time. Continued use after updated Terms become effective constitutes acceptance.
